Terms of Service (ToS)

1. Introduction and Acceptance

Welcome to Centuria Core ("Company," "we," "us," or "our"). By accessing our platform, you agree to be bound by these Terms of Service. Our platform provides a management interface for AI agents (utilizing Retell AI and Vapi) and payment processing services (utilizing Stripe).

2. Definitions

• Partners: Entities or individuals who maintain a Connected Account via Stripe to receive payments or manage sub-services.
• Clients: Businesses or individuals who use the AI agents to interact with their own end-users.
• End Users: Individuals who interact with the AI agents via voice or chat.
• Services: The AI agent tracking, dashboard, transcription storage, and payment facilitation provided by Centuria Core.

3. Third-Party Service Providers

Our service relies on third-party integrations. By using our platform, you also agree to be bound by:

• Stripe: Users (Partners) are subject to the Stripe Connected Account Agreement and Stripe Services Agreement.
• AI Infrastructure: Voice processing and AI agent logic are powered by Retell AI and Vapi. You acknowledge that data will be processed according to their respective Terms of Service.

4. Account Responsibilities

• Security: You are responsible for maintaining the confidentiality of your credentials.
• Compliance: You agree to use the AI agents in compliance with all local and international laws, including the Telephone Consumer Protection Act (TCPA) and recording consent laws.

5. Payments and Billing

• Stripe Integration: All payment processing is handled by Stripe. We do not store credit card details.
• Fees: Centuria Core may charge subscription fees or per-minute AI usage fees. All fees are non-refundable unless stated otherwise.
• Partner Payouts: Payouts to Partners are subject to Stripe's holding periods and identity verification (KYC) requirements.

6. Use of AI and Transcriptions

• Recording Consent (Crucial): The Client is solely responsible for obtaining legally required consent from End Users before recording or transcribing any interaction. Centuria Core provides the tools for recording but assumes no liability for the Client's failure to provide notice.
• AI Accuracy: AI agents may "hallucinate" or provide incorrect information. The Company is not liable for actions taken based on AI-generated content.

7. Limitation of Liability

To the maximum extent permitted by law, Centuria Core shall not be liable for any indirect, incidental, or consequential damages arising from the use of AI agents, service interruptions from Retell/Vapi, or payment disputes on Stripe.
